Stanley Black & Decker to Sell Security Business for $3.2 Billion to Securitas

NEW BRITAIN, Conn., Dec. 8, 2021 /PRNewswire/ — Stanley Black & Decker (NYSE: SWK) today announced it has signed a definitive agreement for the sale of most of its Security assets to Securitas AB (STO: SECU B) for $3.2 billion in cash. The proposed transaction includes Stanley Black & Decker’s Commercial Electronic and Healthcare Security business lines (“Security”).  The businesses carry 2021 forecasted revenues of approximately $1.7 billion with an adjusted EBITDA margin in the low double-digits, implying a purchase price multiple of approximately 16 trailing adjusted EBITDA.

Net proceeds from the sale are expected to be used to fund, in part, an approximately $4 billion share repurchase which is planned to be completed in 2022.  The transaction does not include Stanley Access Technologies, which is a leader in the industry with state-of-the-art automatic door solutions.

James M. Loree, Stanley Black & Decker’s CEO, stated, “The sale of Security is consistent with our commitment to generating substantial shareholder value and allows us to sharpen our strategic focus on growing our core businesses while also returning capital to investors through a significant share buyback. This transaction is a result of our active approach to portfolio management, and the attractive valuation we received reflects the investments we made in transforming our Security business over the last several years.  The business is well positioned for ongoing growth within Securitas, a global leader in the security industry. On behalf of the entire Stanley Black & Decker organization, I want to thank our Security team members for their valuable contributions over the years.”

Magnus Ahlqvist, Securitas AB President & CEO, said, “We are incredibly excited to join forces with Stanley Security and are confident that we will form a winning team. Together, we will be perfectly placed to deliver outstanding expertise and potential for innovation which will create extraordinary opportunities not only for our shareholders, but for our colleagues and our hundreds of thousands of customers around the world.”

Donald Allan, Jr., Stanley Black & Decker’s President & Chief Financial Officer commented, “Three years ago we initiated a digital transformation in Security with investments in people, new partnerships and innovative commercial solutions to establish these businesses as leaders with a strong growth trajectory in their respective markets. The team has made incredible progress and the new combination with Securitas will provide them the best platform for the next stage of success. I want to personally thank my colleagues from Stanley Security on the outstanding amount of energy and passion they put into this transformation to make this phase a success.

“Our use of approaching $3 billion of net proceeds towards a planned $4 billion share repurchase program that we expect to complete in 2022 is consistent with our long-term capital allocation strategy focused on value maximization.  Overall, this transaction will allow us to simultaneously strengthen Stanley Black & Decker’s core market position while returning significant value to our shareholders.”

The transaction has been approved by the Boards of Directors of Stanley Black & Decker and Securitas and is expected to close in the first half of 2022, but timing is contingent upon receiving regulatory approvals and other customary closing conditions.

The approximately $4 billion share repurchase program is expected to commence in 2022 with $2.0 – $2.5 billion expected to occur in the first quarter and the remainder the Company expects to complete in the summer of 2022.  The Company’s capital allocation strategy reflects its commitment to substantial capital return, strong investment grade credit ratings and opportunistic strategic value-creating M&A.

The Company is reaffirming its full-year 2021 EPS guidance of $9.70 – $10.05 on a GAAP basis and $10.70 – $10.90 on a non-GAAP adjusted basis.

Staff Spotlight: Karen Hannan-DeWalt

This month’s Staff Spotlight features Hershey Montessori School Children’s House Guide, Karen Hannan-DeWalt. Karen first joined the Hershey family in 1993 as a parent before obtaining her Montessori diploma and starting work at the school in 1998. As a Children’s House guide, Karen’s job is to observe the children’s interests, needs, social interactions, and readiness for lessons. Using these observations, she seeks out the most effective ways to connect children to work that offers just the right amount of challenge to engage their bodies and minds. She wants her students to work toward success and to feel like their presence in, and contributions to, the community are meaningful. She enjoys supporting the development of good citizens and thoughtful leaders.

Having been trained in biology, she offers a unique perspective to Hershey students. “I love to connect the children to nature, and I revel in their discoveries,” says Karen. Karen’s favorite part about working at Hershey is the connections she makes with her students. She loves working with the same children for 3 or 4 years as it gives her the opportunity to know each student deeply. Karen views it a privilege to witness her student’s successes and growth over this span of time and to watch them become leaders in the community.

Before coming to Hershey, Karen was a stay at home mom with her children for several years. Prior to that, she worked as a cytogenetics technologist, a college biology teaching assistant, and an environmental planner. Karen grew up in Wickliffe, Ohio, and currently resides in Hambden Township near Chardon. She is married and has three grown sons who all went to Hershey from the age of one all the way through middle school. She also has one granddaughter who participated in the Hershey’s Parent – Infant program.

Below is our full interview with Karen:

What brought you to Hershey?

I was introduced to Hershey by the founder of its precursor, Western Reserve Montessori, who recommended the school for my oldest son. After one visit, I was hooked. The children seemed happy, engaged, and peaceful. After many observations of my own children at work in their environments, I felt compelled to become trained as a guide.

What draws you to Montessori?

Children are respected as individuals and the whole child is nurtured. Mixed age groups in one community creates a family-like atmosphere where older children generously share their skills with younger children. Maria Montessori was ahead of her time, and her observations and ideas have now been confirmed by modern neuroscience. I get very excited talking about it!

Favorite Hershey memory?

Seeing my sons happily working in their classrooms when they were younger.

Favorite place to go?

Any creek or river. That is my happy place.

Favorite thing to do?

The most peaceful thing I have ever done is snorkel in the Cayman Islands. I also like to kayak and work in my yard.

Little known fact about you?

I love hardware stores and tools.

How would your friends and family describe you?

Loving, likes to laugh, and good listener.

How would you describe yourself?

An observer of human nature, an introvert, someone who likes to connect one on one.

What has been your happiest moment?

Seeing my sons grow to be good humans.

What is a big life lesson you would like to share with others?

If you live true to yourself with integrity, you won’t have any regrets.

We cannot thank Karen enough for her contributions to our school community. She is a friend, mentor, and role model to all of her fellow staff and students, and it is an honor to have her as a member of our Hershey family.

DeWalt 20V Max Cordless Universal Dust Extractor Kit

DeWalt 20V Max Cordless Universal Dust Extractor Kit Cracks Down On Jobsite Airborn Hazards

The dangers of silica dust are no secret in the construction industry. OSHA has taken great measures to warn of the risk associated with loose concrete dust and its effects years down the road. This DeWalt cordless universal dust extraction kit and tube kit aim to increase workplace safety by reducing dust inhalation hazards.

DeWalt DWH161 Cordless Universal Dust Extractor

To get an idea of the performance and convenience of this vacuum system, we paired the DWH161D1 with the DWH200D dust extractor tube kit as we tested DeWalt’s 12V brushless rotary hammer.

Right away, we enjoyed the lightweight and wearable design along with its 20V Max battery power supply. These factors make it more convenient than lugging around a full-sized extractor or shop vac, especially for small jobs or working at height.

Multiple shoulder sling connection points allow you to position the dust extractor wherever is most comfortable with the strap that comes in the box.

The collection box houses a HEPA filter and has 45% more capacity than the tool-mounted DeWalt DWH302DH for a total of 210 cubic centimeters of volume.

DeWalt 20V Max Cordless Universal Dust Extractor Kit

Aside from its size and compact design, the feature we like the most is DeWalt’s wireless tool control capability. If the tool you’re using isn’t already wireless-ready, you can grab DeWalt’s key fob-style remote to easily turn the vac on or off. The tool’s brushless motor already extends the runtime significantly, and wireless activation keeps the vac from running when you don’t need it on.

We spent our time drilling test holes in concrete for our rotary hammers, and the cordless extractor quickly cleared away the loose dust leaving little to nothing left behind. Meanwhile, its onboard HEPA filter pulled out the impurities and expelled nothing but clean air.

DeWalt 20V Max Cordless Universal Dust Extractor Kit

You can use the extractor with a wide range of tools and applications, not just rotary hammers. In fact, it reduces dust when drilling, chipping, using a percussion hammer drill, making drywall cutouts, and sanding. If the tool you’re using has a 1 1/4-inch vac port (or you use an adapter), it’ll work.

DeWalt Cordless Universal Dust Extractor Price

You can snag this 20V cordless dust extractor for $199 as a bare tool or as a kit with a 2.0Ah battery and charger for $249 online at Acme Tools. Additionally, both options carry a 3-year limited warranty, 2-year free service contract, and a 90-day money-back guarantee.

Specifications

  • Model: DWH161D1
  • Power Source: DeWalt 20V battery
  • OSHA Table 1 Compliant
  • Wireless Tool Control Enabled
  • Weight: 4.06 lbs (bare), 4.87 lbs (with 2Ah battery)
  • Noise Level: 67 dB
  • Warranty: 3 years
  • Price: $199 (bare tool), $249 (with 2Ah battery)

DeWalt Dust Extraction Tube Kit DWH200D

The DWH200D dust extraction tube kit is an OSHA-compliant solution for both SDS plus rotary hammers and hammers drills. The system allows you to safely contain concrete dust. Heavier, non-airborne particles simply fall into the tube and lighter dust gets sucked up by your vac.

Even without a vac, the dust stays in containment until you move the tube away. Vacless operation is best when you’re drilling straight down. Drilling into walls or overhead makes it tough to keep at least some dust from floating away.

The three accordion-style clear tubes in the set work with bits up to 10 inches. Just match the tube to the length of the bit you’re using.

This kit is pretty user-friendly but there’s a little break-in period for the tubes before they get easier to switch. Once you have a good fit, just tighten the handle by rotating it clockwise as you would with other fore-grips.

What’s In The Box?

  • Adjustable Side-Handle
  • Depth Rod
  • Stop Bit Tube
  • Standard 6-Inch Tube
  • Extended 10-Inch Tube
  • Two Adapter Spacing Rings

DeWalt Dust Extraciton Tube Kit Price

The DeWalt SDS Plus Dust kit prices out at $91.99 and includes a variety of fittings and accessories that make it compatible with most of DeWalt’s hammer drills and rotary hammers.

Specifications

  • Model: DWH200D
  • Warranty: 3 years
  • Price: $91.99

The Bottom Line

DeWalt’s universal dust extraction kit is an excellent solution when the situation calls for a more compact collection system. Designing it with a brushless motor gets more out of your battery and giving you an option to carry it off of the tool puts the weight somewhere else. You trade-off capacity compared to larger vacs, but the convenience in confined spaces, overhead drilling, and working at height makes it totally worth it.

DeWalt Cordless Underhood Light Review DCL045

DeWalt Max Cordless Underhood Light Puts A Fresh Spin On A Garage Classic

Professional mechanics and gearhead hobbyists know ample light is essential, especially when you’re working under the hood. We often reached for a flashlight or headlamp when working on our vehicles, but those aren’t always the most effective options. The DeWalt cordless underhood light is designed to put a lot of light on your engine bay and adds a couple of big bonuses that set it apart from its competition.

Pros

  • Compatible with 12V Max, 20V Max, and FlexVolt batteries
  • High output with two modes
  • Padded hooks rotate 360°
  • Collapsable for easy storage
  • Extremely wide beam

Cons

  • Noticable artifacts in the beam

DeWalt Cordless Underhood Light Performance

I’ve worked on plenty of vehicles professionally. Along with my impact wrench, one of the most valuable tools in my box is my trusty flashlight. The downside to using a traditional flashlight is…well…I don’t have a third hand to hold it!

We had some regular maintenance on our schedule that gave us the opportunity to swap out our normal lighting for the DeWalt cordless underhood light. We were able to fit it perfectly on the hood and it flooded the engine bay with an impressive amount of light. The temperature of the beam is cooler than many hang lights, which is something we tend to prefer for work lights. Even though the light installs at or near eye level, it didn’t shine blindingly in our eyes at all!

Light Quality

The light casts its LED light in a wide beam that fully illuminates a dark engine bay. The color temperature of the light is neutral, which is especially important when you’re attempting to identify wires or read small part numbers.

There are some noticeable lateral artifacts near the edges of the beam. However, they don’t affect the main beam when the light is static.

Light It Up

The light boasts some pretty big output for an underhood light, claiming 1,700 lumens on high and 800 on low. That’s about 500 more than the Craftsman 20V underhood light and it beats Milwaukee’s M12 underhood light as well.

The mode button allows you to toggle between the two light bars separately or use them together for the highest output.

The ability to toggle light between the two sides is unusual and helps extend your runtime if you’re running low on batteries. It also helps you use the light for undercarriage work, and it opens up other possibilities due to the light’s slim profile, folding design, and hooks.

Power Options and Runtime

One of the coolest features of this light is its ability to use 12V Max, 20V Max, or FlexVolt batteries without needing any special adapters. This level of battery compatibility is a really big deal and it’s something that’s we haven’t seen before. This means that the underhood light is a viable option no matter what DeWalt lithium-ion battery platform you use (the discontinued 40V Max batteries will not work).

Expect runtimes of up to 5 hours on high and 11 hours on low with a 20V Max 4.0Ah battery. Obviously, using a larger battery results in longer runtime, and toggling the mode button will help you maximize your runtime by only illuminating one side at a time.

DeWalt Cordless Underhood Light Design Notes

Installing the Light

The DeWalt cordless underhood light extends from 51 inches all the way up to 74 inches and fits most larger SUV and truck hoods. Padded anti-marring hooks on each side are soft and go easy on your vehicle’s finish. The hooks also rotate 360° which allows you to shine light exactly where you need it.

Once you spread the arms across the hood, springs provide enough tension to keep the light securely in place while preventing it from slipping.

Pivoting Action

Underhood lights aren’t the most compact tools, and if you’re anything like us, storage space is always at a premium. DeWalt’s dual-hinge design allows the arms to independently pivot 90° on each side and has integrated stops that prevent the light from slamming closed when you’re using it.

DeWalt Cordless Underhood Light Price

DeWalt’s underhood light retails for $179 as a bare tool. Presently, it’s not available as a kit so grab a couple of batteries and a charger if you don’t already have them. The light also carries a 3-year limited warranty, 1-year free service contract, and a 90-day money-back guarantee.

The Bottom Line

The DeWalt cordless underhood light knocks it out of the park for mechanics and automotive enthusiasts. Between its high output level, folding design, and ability to use most DeWalt lithium-ion batteries, it outperforms its competition with a more versatile design. If you’re on the hunt for an underhood light, we highly recommend DeWalt’s DCL045.

DeWalt Cordless Underhood Light Specifications

  • Power Source: DeWalt 12V Max, 20V Max, or 20V/60V FlexVolt
  • Weight: 5.5 lbs (bare), 6.0 lbs (with 3.0Ah 12V Max), 6.88 lbs (with 5.0Ah 20V Max)

DEWALT Wireless Earphones Recall Overview:

  • Who: Company E-filliate is recalling its DEWALT Jobsite Pro Wireless Earphones.
  • Why: The headphones have been found to overheat, burst into fire and cause burns.
  • Where: The headphones were sold at electronics stores nationwide.

More than 301,000 DEWALT wireless earphones are being recalled after dozens of reports of overheating, bursting into flames and even burning customers.

In a recall notice posted Dec. 1 to the United States Consumers Product Safety Commission website, mobile accessory company E-filliate said it was recalling 301,800 units of the DEWALT ® Jobsite Pro Wireless Earphones due to a fire and burn risk.

So far, E-filliate has received 61 reports of the earphones overheating during charging or use, including five reports of fire and four reports of minor burn injuries, the recall notice says.

“Consumers should immediately stop using the wireless earphones and contact E-filliate to receive a prepaid shipment label to return the product directly to E-filliate in order to receive a free replacement,” the notice states.

The company is not currently facing legal action over the recall, but Top Class Actions follows recalls closely as they sometimes end in class action lawsuits.

Affected Headphones Were Sold at Electronics And Hardware Stores Nationwide

The headphones were sold nationwide at The Home Depot, Lowe’s, other electronics and hardware stores nationwide and online from Dec. 2019 through July 2021 for about $60.

The manufacture codes included in the recall are D4 1910, D4 1912, D4 2003, D4 2004, D4 2006, D4 2009, D4 2011, D4 2012, D4 2101, D4 2103 and D4 2104. If no manufacture code can be found, the product is included in the recall.

Headphones and headsets are often at the center of class action lawsuits. In 2020, Apple agreed to pay $9.75 million to resolve claims that Powerbeats2 battery life is poor, devaluing the wireless earphones.

In 2019, Plantronics BackBeat FIT wireless headphone owners were able to claim $100 from a class action settlement resolving claims that the headphones were falsely advertised as being able to provide eight hours of listening after one charge.
